By accessing or using the Ampersand Business Continuity platform ("Service"), operated by Ampersand Business Continuity, LLC ("Ampersand," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. Your continued use of the Service constitutes your ongoing acceptance of these Terms as they may be updated from time to time.
Ampersand provides a cloud-based platform intended to assist organizations with business continuity management activities, which may include business impact analysis, contingency planning, incident response coordination, and recovery management. The Service is provided as a general-purpose planning and coordination tool only.
The Service is AI-powered.Certain features of the Service use artificial intelligence and large language models (such as Anthropic's Claude) to generate, analyze, summarize, or suggest content including but not limited to contingency plans, action steps, recovery procedures, and assessments. By using the Service, you acknowledge and consent to your data being transmitted to and processed by third-party AI providers for these purposes. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific circumstances and must be independently reviewed before use.
The Service does not constitute professional advice. The Service is not a substitute for qualified professional consultation in emergency management, legal compliance, safety engineering, or any other professional discipline. You are solely responsible for all decisions and actions taken based on information in the Service, including any AI-generated content.
To use the Service, you must register for an account and provide certain information. You agree to provide accurate information and to keep it reasonably current. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Ampersand is not liable for any loss or damage arising from your failure to secure your account.
Organization administrators are responsible for managing access levels for members of their organization. Ampersand is not responsible for the actions of any user within your organization.

You retain ownership of the data you enter into the Service ("Your Data"). By using the Service, you grant Ampersand a non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and sublicense Your Data as necessary to provide, maintain, improve, and support the Service, to develop new features and services, and to transmit Your Data to third-party service providers including artificial intelligence providers as described in our Privacy Policy. This license survives termination of your account to the extent necessary to fulfill our obligations.
You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. Ampersand does not review, validate, or endorse any content you submit and assumes no responsibility for it.
Certain features of the Service may require payment of fees. Applicable fees, billing terms, and pricing are provided at the time of enrollment or subscription. All fees are non-refundable except as expressly stated otherwise. Ampersand reserves the right to change its fees at any time with reasonable notice. Your continued use of the Service after a fee change constitutes your acceptance of the new fees.
Ampersand does not guarantee that the Service will be available at all times or without interruption. The Service may be subject to scheduled or unscheduled maintenance, updates, or outages. Ampersand shall not be liable for any interruption, delay, or unavailability of the Service for any reason, including but not limited to network issues, hardware failure, software bugs, security incidents, or force majeure events.
The Service is a planning and coordination tool and must not be relied upon as the sole basis for life-safety decisions, emergency response actions, or regulatory compliance. You should always maintain independent backup procedures and consult qualified professionals for critical decisions.
The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by Ampersand and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, AMPERSAND DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND TITLE.
Without limiting the foregoing, Ampersand does not warrant that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any results or information obtained through the Service will be accurate, complete, or reliable; (d) any defects in the Service will be corrected; or (e) the Service is free of viruses or other harmful components. Any business continuity plans, analyses, assessments, or other outputs generated or managed through the Service should be independently reviewed and validated by qualified professionals.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMPERSAND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF AMPERSAND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AMPERSAND'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED FIFTY DOLLARS ($50 USD).
You acknowledge that the Service is a general-purpose planning tool and that Ampersand shall have no liability whatsoever for any decisions, actions, or omissions made in reliance on the Service, including without limitation any failure of business continuity plans, inadequacy of recovery procedures, or losses arising from incidents or disasters.
You agree to indemnify, defend, and hold harmless Ampersand and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content or data you submit to the Service; or (e) your negligence or willful misconduct.
Ampersand may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Ampersand may, but is not obligated to, retain your data for a reasonable period following termination. The provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5, 9, 10, 11, 14, and 15.
Ampersand reserves the right to modify these Terms at any time in its sole discretion. Changes will be effective upon posting of the updated Terms. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
MANDATORY ARBITRATION:Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, WHETHER AS A NAMED PLAINTIFF, CLASS MEMBER, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Ampersand shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, riots, power failures, Internet or telecommunications failures, cyberattacks, or any other force majeure event.
These Terms constitute the entire agreement between you and Ampersand regarding the Service. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect. Ampersand's failure to enforce any right or provision shall not constitute a waiver of such right or provision. You may not assign or transfer your rights under these Terms without Ampersand's prior written consent. Ampersand may assign its rights and obligations without restriction.
